These Terms & Conditions ("Terms") govern your access to and use of the Batch platform and services ("Service"), operated by Batch ("Batch", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

  • "Service" means the Batch software platform and related services.
  • "Customer" / "you" means the individual or business using the Service.
  • "Subscription" means a paid plan providing access to the Service.
  • "Trial" means any free access period offered prior to paid subscription.
  • "Content" means any data, information, or materials submitted to the Service.

2. The Service

Batch provides a workforce scheduling and staff management platform for hospitality businesses in the United Kingdom, including but not limited to:

  • Shift scheduling and management
  • Shift swap and time-off requests
  • Team communications and announcements
  • SMS and email notifications
  • Staff availability tracking

We may modify, suspend, or discontinue any part of the Service at any time.

3. Account Registration

To access certain features, you must create an account.

You agree to:

  • Provide accurate and current information
  • Maintain the security of your login credentials
  • Accept responsibility for all activity under your account
  • Notify us promptly of any unauthorised use

You are solely responsible for ensuring your use of the Service complies with all applicable employment, payroll, and workplace laws.

4. Subscriptions, Fees, and Payments

Certain features require a paid Subscription.

By subscribing, you agree to:

  • Pay all fees displayed at the time of purchase
  • Provide valid payment details
  • Authorise recurring billing until cancellation

Subscriptions are billed monthly in advance, in GBP, and include VAT where applicable.

All payments are non-refundable, except as expressly stated in our Refund & Cancellation Policy, which forms part of these Terms.

5. Free Trial

Batch may offer a free Trial as described on the pricing page.

Unless cancelled before the Trial ends:

  • Your Subscription will automatically convert to a paid plan
  • You authorise us to charge the applicable subscription fee

Trial duration, eligibility, and availability are subject to change.

6. Cancellation

You may cancel your Subscription at any time via your account settings.

  • Cancellation takes effect at the end of the current billing period
  • Access to the Service continues until that date
  • No further charges will be applied after cancellation

7. Acceptable Use

You must not use the Service to:

  • Violate any law or regulation
  • Infringe third-party rights
  • Transmit unlawful, harmful, or offensive content
  • Attempt unauthorised access to systems or data
  • Interfere with or disrupt the Service
  • Use the Service for purposes other than workforce management

We may investigate and take appropriate action for violations.

8. Data Protection

We process personal data in accordance with:

For business customers, data processing is governed by our Data Processing Addendum (DPA), which forms part of these Terms.

You are responsible for ensuring that any personal data you upload is processed lawfully.

9. Customer Content

You retain ownership of all Content you submit to the Service.

By using the Service, you grant Batch a limited licence to process such Content solely to provide and improve the Service.

10. Intellectual Property

The Service and all related intellectual property are owned by Batch or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Service during an active Subscription.

11. Termination

We may suspend or terminate access to the Service if you materially breach these Terms or misuse the Service, where permitted by law.

Upon termination or cancellation:

  • Access ends at the conclusion of the billing period
  • Data may be retained for up to 90 days, then deleted

Data recovery after deletion is not guaranteed.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available".

To the fullest extent permitted by law, Batch disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted, secure, or error-free operation.

13. Limitation of Liability

To the maximum extent permitted by law, Batch shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or business interruption

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless Batch from any claims, losses, or damages arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of applicable laws or third-party rights

15. Force Majeure

Batch shall not be liable for delays or failures caused by events beyond reasonable control, including infrastructure outages, third-party service failures, or network disruptions.

16. Changes to the Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
